General Terms and Conditions of Sale

Important: Euro Broyage is not an online store. Prices, specifications and availability displayed on this website are provided for indicative and estimative purposes only. All equipment orders are subject to a personalized quote, and the definitive terms of sale are exclusively those stated in the quote accepted by the client.

1Purpose and Scope

These general terms and conditions of sale (GTC) govern the relationship between Euro Broyage and its clients in connection with the supply of industrial grinding and recycling equipment, as well as associated services (studies, assembly, commissioning, maintenance, improvement).

Acceptance of a quote issued by Euro Broyage constitutes acceptance of these GTC, unless specific provisions are expressly agreed upon in the quote. In case of conflict between these GTC and the terms of the quote, the terms of the quote shall prevail.

2Indicative Prices and Quotes

Prices displayed on euro-broyage.com are indicative and estimative, expressed in euros excluding taxes (€ excl. VAT). They do not constitute a firm and definitive commercial offer under any circumstances.

Each project is subject to a personalized quote, prepared after analysis of the client's specific needs (materials to be processed, volumes, installation constraints, etc.). The quote specifies the final prices, payment terms, delivery times and all specific conditions applicable to the order.

Euro Broyage reserves the right to modify the indicative prices displayed on the website at any time and without notice. Only the prices stated in the quote accepted by the client are binding.

3Orders and Acceptance

All orders are subject to the prior preparation of a quote by Euro Broyage and its formal acceptance by the client. Quote acceptance may be done by handwritten signature, electronic signature, or any written means agreed between the parties.

The order is considered firm and final upon receipt of the signed quote and, where applicable, payment of the deposit specified in the quote.

Euro Broyage reserves the right to refuse or cancel any order for legitimate reasons, including supply issues, anomalies in the request, or prior disputes with the client.

4Delivery and Intervention Times

Delivery and intervention times are communicated as indicative in the quote. They depend on the nature of the equipment ordered, its availability and project conditions (installation, site accessibility, etc.).

A delivery delay cannot give rise to order cancellation, penalties or damages, unless otherwise expressly provided in the quote. Euro Broyage commits to informing the client as soon as possible of any significant delay.

5Payment Terms

Payment terms are specified in each quote. Unless otherwise stated, a deposit is required upon order, with the balance due according to the payment schedule defined in the quote.

In case of late payment, late payment penalties will be applied automatically, at the legal interest rate plus 3 points. A fixed compensation of €40 for recovery costs will also be due, in accordance with Article L.441-10 of the French Commercial Code.

6Warranty and Liability

Warranty conditions applicable to each piece of equipment are specified in the corresponding quote. They cover manufacturing defects and conformity defects, under the conditions and timeframes defined in the quote.

Euro Broyage shall not be held liable for damages resulting from non-compliant use of equipment, lack of maintenance, modifications made without written consent, or normal wear of consumable and wear parts.

7Intellectual Property

All content on euro-broyage.com (text, images, videos, logos, plans, technical data) is the exclusive property of Euro Broyage or its partners. Any reproduction, even partial, is prohibited without prior written authorization.

Technical documents, plans and studies provided as part of a quote remain the intellectual property of Euro Broyage and may not be used, reproduced or shared with third parties without written consent.

8Personal Data Protection

Personal data collected by Euro Broyage in connection with quote requests and business relationships is processed in accordance with the General Data Protection Regulation (GDPR) and French data protection law. It is used exclusively for processing requests, preparing quotes and managing the client relationship. Users have the right to access, rectify and delete their data by contacting contact@euro-broyage.com.

9Force Majeure

Euro Broyage shall not be held liable for non-performance of its obligations in the event of force majeure as defined by Article 1218 of the French Civil Code, including but not limited to: natural disasters, epidemics, strikes, wars, government restrictions, shortages of raw materials or transport.

In case of force majeure, the parties' obligations are suspended for the duration of the event. If the event continues beyond three months, either party may terminate the order without compensation.

10Applicable Law and Disputes

These GTC are governed by French law. Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the courts in the jurisdiction of Euro Broyage's registered office.

In case of disagreement, the parties commit to seeking an amicable solution before any legal proceedings.

11Modifications to GTC

Euro Broyage reserves the right to modify these GTC at any time. The applicable conditions are those in force on the date of the client's acceptance of the quote.
